MiCA Regulation, NFTs and Crypto-Assets

As of August 28, 2022, the EU does not have a special unified legal regime regulation of Markets in crypto-assets, including NFTs. With regard to some types of crypto-assets, such a legal regime should be introduced with the entry into force of the MiCA Regulation (REGULATION OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL on Markets in Crypto-assets, and amending Directive (EU) 2019/1937). The principles of the crypto-assets regulation laid down in the Proposal for a REGULATION OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL on Markets in Crypto-assets should be already taken into account during any legal analysis regarding any new crypto-project in the EU. A legal review of the MiCA Regulation will be provided below.

On 30 June 2022 the Council presidency and the European Parliament reached a provisional agreement on the Markets in Crypto-assets Regulation. This regulatory framework covers issuers of unbacked crypto-assets and stablecoins, as well as the trading venues and the wallets where crypto-assets are held.

The aim of the MiCA Regulation is to create a regulatory framework for the crypto-asset market that supports innovation of crypto-assets in a way that preserves financial stability and protects investors. With the MiCA Regulation, crypto-asset service providers will have to respect strong requirements to protect consumers wallets and become liable in case they lose investors’ crypto-assets. MiCA will also cover any type of market abuse related to any type of transaction or service, notably for market manipulation and insider dealing.

The European Commission’s Regulation of markets in crypto-assets proposal:

To avoid any overlaps with updated legislation on anti-money laundering, which will now also cover crypto-assets, MiCA does not duplicate the AML provisions as set out in the newly updated transfer of funds rules agreed on 29 June. However, MiCA requires that the European Banking Authority will be tasked with maintaining a public register of non-compliant crypto-asset service providers. Crypto-asset service providers, whose parent company is located in countries listed on the EU list of third countries considered at high risk for AML activities, as well as on the EU list of non-cooperative jurisdictions for tax purposes, will be required to implement strengthened checks in line with the EU AML framework. Tougher requirements may also be applied to shareholders and to the management of the сrypto-asset service providers.

The MiCA Regulation will protect consumers by requesting stablecoins issuers to build up a sufficiently liquid reserve, with a 1:1 ratio and partly in the form of deposits. Every stablecoin holder will be offered a claim at any time and free of charge by the issuer, and the rules governing the operation of the reserve will also provide for an adequate minimum liquidity. Furthermore, all stablecoins will be supervised by the European Banking Authority.

The development of asset-referenced tokens based on a non-European currency will stipulate a number of additional obligations on the part of ARTs service providers. Issuers of ARTs will need to have a registered office in the EU to ensure the proper supervision of offers to the public of asset-referenced tokens.

Crypto-asset service providers will need an authorisation in order to operate within the EU. National authorities will be required to issue authorisations within a timeframe of three months. Regarding the largest crypto-asset service providerss national authorities will transmit relevant information regularly to ESMA (the European Securities and Markets Authority).

NFTs and digital assets representing real objects like art, will be excluded from the scope except if they fall under existing crypto-asset categories. Within 18 months the European Commission will be tasked to prepare a comprehensive assessment and, if deemed necessary, a specific, proportionate and horizontal legislative proposal to create a regime for NFTs and address the emerging risks of such new market.

The MiCA Regulation consists of three regulatory regimes:

  1. A framework for ICOs that includes the publication of an information document and allows issuers to issue their tokens within the EU.
  2. A framework for crypto-asset service providers subject to a mandatory authorization to provide one of the services provided for in the text.
  3. A framework for fixed value tokens that distinguishes between tokens that fall under the e-money regime and tokens that refer to assets.

As for now, NFTs regulation is excluded from the MiCA. It should allow artists to create individual digital assets without being buried in legal formalities. At the same time, companies behind NFT collections at least will have to provide a whitepaper that explains what their product is and how they operate on the blockchain. Moreover, NFTs that replicate a financial instrument will be in scope of MiCA Regulation.


Огляд пропозицій Комісії ЄС з Регулювання ринків криптоактивів:

Станом на 28.08.2022 ЄС не має специфічного правового режиму регулювання ринків криптоактивів, включаючи NFT. Такий правовий режим має бути запроваджено лише з набранням чинності Регламентом MiCA. Наразі це тільки проект. Втім, його принципи мають бути враховані вже зараз при юридичному розборі будь-якого крипто-проекту, який планує охопити ЄС.

30 червня 2022 року Європейський парламент досяг попередньої угоди щодо Регламенту з Регулювання ринків криптоактивів (MiCA). Ця нормативно-правова база охоплює емітентів незабезпечених криптоактивів і стейблкойнів, а також торговельні майданчики та гаманці, де зберігаються криптоактиви.

Метою Регламенту MiCA є створення нормативної бази для ринку криптоактивів, яка підтримує інновації криптоактивів таким чином, щоб зберегти фінансову стабільність і одночасно захистити інвесторів. Відповідно до Регламенту MiCA постачальники послуг криптовалютних активів повинні будуть дотримуватися суворих вимог щодо захисту гаманців споживачів і нести відповідальність у разі втрати криптоактивів інвесторів. MiCA також охоплюватиме будь-який тип ринкових зловживань, пов’язані з усіма транзакціями і послугами, зокрема маніпулювання ринком та інсайдерські угоди.

Щоб уникнути дублювання з оновленим законодавством про боротьбу з відмиванням грошей, яке також охоплюватиме криптоактиви, MiCA не дублює положення щодо боротьби з відмиванням коштів, як це викладено в нещодавно оновлених правилах AML. Натомість, MiCA вимагає створення публічного реєстру постачальників послуг криптоактивів, які не відповідають новим вимогам.

Постачальники послуг криптовалютних активів, чия компанія розташована в країнах зі списку країн, які вважаються зонами високого AML ризику, повинні будуть запровадити посилені перевірки відповідно до правил ЄС щодо боротьби з відмиванням коштів. Посилені вимоги також застосовуються до акціонерів і менеджменту провайдерів послуг криптовалютних активів.

Регламент MiCA покликаний захистити споживачів, вимагаючи від емітентів стейблкойнів створити достатньо ліквідний резерв із співвідношенням 1:1. Розробка asset-referenced tokens на основі неєвропейської валюти передбачатиме додаткові зобов’язання з боку постачальників послуг ARTs. Емітенти ART мають зареєструвати представництво у ЄС щоб забезпечити належний нагляд за їх пропозиціями токенів. Для роботи у Європейському Союзі їм знадобиться спеціальний дозвіл.

Разом з тим, NFT та цифрові активи, що представляють реальні об’єкти, такі як художні твори, виключені зі сфери регулювання MiCA. Це не означає повну відсутність регулювання NFT. Так, компанії, які створюють колекції NFT, повинні будуть надати документацію, яка пояснює, що представляє їхній продукт і як вони працюють у блокчейні. А NFT, які копіюють фінансові інструменти, повністю підпадають під дію Регламенту MiCA.

MICA is not yet adopted but it is already a reference point when drawing up legal conclusions regarding cryptocurrencies?

Yes, MiCA is not yet adopted as a legal framework. However, the principles and the propositions of MiCA should be considered in any legal analysis regarding EU VA markets. This is a common practice when conducting such a legal analysis.
